Terms of Business and Website Terms of Use

Draft. This document is a draft and must be reviewed and approved by an attorney before publication. Items in square brackets must be completed. In case of discrepancy, the Czech version prevails.

1. Introductory provisions

1.1 These terms of business and website terms of use (the "Terms") govern the rights and obligations between the operator of the websites icorent.cz and icorent.com and the users of those websites, including users of the investor portal.

1.2 The operator is [FILL IN: company name], company ID (IČO) [FILL IN: IČO], with its registered office at [FILL IN: registered office], registered in the Commercial Register maintained by [FILL IN: court and file number], contact e-mail [email protected] (the "Operator" or "ICORENT").

1.3 These Terms are governed by Czech Act No. 89/2012 Coll., the Civil Code (the "Civil Code"). Deviating provisions of an individual written agreement between the Operator and a user take precedence over these Terms.

2. Definitions

  • Website – the websites at icorent.cz and icorent.com, including their subpages, forms and the investor portal.
  • Client – a business that requests financing or advisory services through the Website.
  • Investor – a business or legal entity granted access to the investor portal by the Operator.
  • User – anyone who visits or uses the Website, including Clients and Investors.
  • Enquiry – information submitted by a Client via the contact form or another communication channel.
  • Opportunity – an anonymised description of a financing deal published by the Operator in the investor portal.

3. Services for businesses only (B2B)

3.1 ICORENT services are intended exclusively for businesses within the meaning of Section 420 of the Civil Code, i.e. legal entities and self-employed individuals holding a Czech company ID (IČO) or an equivalent business registration, acting in the course of their business.

3.2 ICORENT does not provide or broker consumer credit within the meaning of Czech Act No. 257/2016 Coll., on Consumer Credit. The services are not intended for consumers and cannot be used to finance housing or other personal needs.

3.3 By submitting an Enquiry, the User declares that they act as a business in the course of their business activity and that the requested financing is for business purposes. The Operator may verify this declaration, in particular in the Czech Administrative Register of Economic Entities (ARES), and may reject an Enquiry where it is apparent that the User is a consumer or the purpose is a consumer one.

3.4 Consumer protection provisions of the Civil Code do not apply to relationships under these Terms. In accordance with Section 1801 of the Civil Code, the parties exclude the application of Sections 1799 and 1800 on contracts concluded by adhesion.

4. Nature of the services

4.1 ICORENT provides advisory services on business financing and arranges contact between Clients and non-bank sources of capital, typically in the form of financing secured by real estate, including by pooling financing from several Investors.

4.2 ICORENT is not a bank, does not accept deposits from the public and does not itself lend from its own funds unless expressly agreed otherwise in an individual agreement.

4.3 ICORENT does not provide investment services or investment advice within the meaning of Czech Act No. 256/2004 Coll., on Capital Market Undertakings, does not carry out collective investment and does not act as a crowdfunding service provider under Regulation (EU) 2020/1503. [FILL IN: the attorney to confirm the regulatory classification of the pooled financing model and any obligations under Czech Act No. 253/2008 Coll., on anti-money laundering.]

4.4 Information on the Website is for information purposes only and is not an offer to conclude a contract nor a binding commitment to provide financing. The amount, interest rate, maturity, security and other terms are always negotiated individually and depend on the assessment of the Client, the collateral and the decision of a specific Investor.

4.5 The Operator does not guarantee that financing will be obtained, or that it will be obtained in the requested amount or time frame.

4.6 The Operator's fee, its amount and due date are agreed in a separate written agreement with the Client or Investor. Submitting an Enquiry alone does not oblige the Client to pay any fee. [FILL IN: fee model, e.g. success fee.]

5. Enquiry form and data verification

5.1 Users may submit an Enquiry via the form, including in particular their name, company ID, e-mail, phone number, requested amount, property information and a message.

5.2 The User is responsible for ensuring that the information provided is true and complete and that they are authorised to act on behalf of the company whose ID they provide. Where the User provides information about property or persons other than themselves, they are responsible for being entitled to share it with the Operator.

5.3 After an Enquiry is submitted, the Operator automatically supplements and verifies company information from public registers, in particular ARES, the Czech Insolvency Register (ISIR) and the VAT payer register. The Operator may also verify property information in the Czech Land Registry through the official remote access service of the Czech Office for Surveying, Mapping and Cadastre (ČÚZK), including obtaining extracts from the title deed (list vlastnictví).

5.4 The results of these checks serve for a preliminary assessment of the Enquiry. They do not constitute a decision on financing; such decisions are always made by a human, or by the relevant Investor.

5.5 The processing of personal data in connection with Enquiries is described in the separate Privacy Policy published on the Website.

6. AI-generated automatic reply

6.1 In response to an Enquiry, the Operator may send an automatic e-mail reply whose text is generated by an artificial intelligence system (the Claude language model by Anthropic). Such a reply is clearly labelled as AI-generated in the e-mail.

6.2 The automatic reply is for information only; it confirms receipt of the Enquiry and may contain general information about next steps. It is not an offer, a commitment to provide financing, or legal, tax or financial advice and is not binding on the Operator.

6.3 If the automatic reply contains an inaccuracy or conflicts with these Terms or with a statement by an Operator's staff member, these Terms and the staff member's statement prevail.

7. Investor portal

7.1 Only Investors approved by the Operator at its discretion have access to the investor portal. There is no legal entitlement to approval. Before approval, the Operator may require identification and supporting documents, in particular where required by law.

7.2 Investors must protect their login credentials, not share them with third parties, and notify the Operator without delay of any misuse. Investors are responsible for actions taken under their account.

7.3 Opportunities in the portal are anonymised. Investors undertake not to take steps to identify the Client or property owner outside the process agreed with the Operator, and not to circumvent the Operator by contacting the Client directly.

7.4 Expressing interest in an Opportunity is non-binding and does not create a contract or any entitlement to conclude a financing deal. Detailed information about an Opportunity may be disclosed to an Investor only after a non-disclosure agreement and, where applicable, a data processing or data sharing agreement has been concluded.

7.5 Information in the portal is not an investment recommendation. Investors make their own decisions independently, at their own risk and based on their own due diligence. Business financing carries a risk of loss, even when secured.

7.6 The Operator may restrict or cancel portal access at any time, in particular for breach of these Terms or of confidentiality obligations.

8. Communication channels

8.1 Users may contact the Operator by e-mail, phone or via a WhatsApp link. By clicking the WhatsApp link, the User leaves the Website and their communication is governed by the terms of WhatsApp (Meta Platforms Ireland Ltd.). The Operator recommends not sharing sensitive documents via this channel.

8.2 To ensure a quick response, Enquiries may be forwarded to the Operator's staff and cooperating partners, who will contact the User by phone or e-mail.

9. Rules of use

9.1 Users must not use the Website in breach of the law or good morals, in particular they must not:

  • submit false information or third-party data without authorisation,
  • interfere with the technical operation of the Website, bypass security measures or overload it with automated requests,
  • collect Website or portal content using automated tools (scraping),
  • insert malicious code or instructions intended to manipulate the AI system into forms.

9.2 Website content, including texts, graphics, the ICORENT logo and databases, is protected by copyright and database rights. It may not be copied or otherwise used beyond ordinary browsing without the Operator's prior written consent.

10. Liability

10.1 The Operator makes reasonable efforts to keep the information on the Website accurate but does not guarantee its completeness, timeliness or the uninterrupted availability of the Website.

10.2 Data taken from public registers and the Land Registry are provided as maintained by the competent authorities. The Operator is not liable for their inaccuracy.

10.3 To the extent permitted by law, the Operator is not liable for loss of profit or indirect damage arising from the use of the Website, the automatic reply or the investor portal. The Operator's total liability to a User arising from use of the Website is limited to [FILL IN: liability cap]. This limitation does not apply to harm caused intentionally or through gross negligence, or where the law does not permit it.

10.4 The Website may contain links to third-party websites for whose content the Operator is not responsible.

11. Confidentiality

The Operator keeps confidential the information provided by Clients and discloses it only to the extent necessary to arrange financing, in particular to Investors and cooperating partners bound by confidentiality, or where required by law.

12. Final provisions

12.1 These Terms and the relationships arising from them are governed by the laws of the Czech Republic. Disputes shall be decided by the court having subject-matter jurisdiction at the Operator's registered office.

12.2 The Operator may reasonably amend these Terms, in particular following changes in legislation or services (Section 1752 of the Civil Code). Amendments take effect upon publication on the Website; for Investors with portal access, no earlier than 14 days after notice by e-mail. Investors may reject the amendment and terminate their access.

12.3 If any provision of these Terms is invalid or ineffective, the remaining provisions remain unaffected.

12.4 The Czech version of these Terms published at icorent.cz prevails over this English version.

12.5 These Terms take effect on [FILL IN: effective date].
